ORGANIZATIONAL REGULATIONS OF THE MEDICAL ENTITY BIOGENE LIMITED 

(hereinafter referred to as: "Regulations")

§ 1

GENERAL PROVISIONS 

  1. These Organisational Regulations are established for the Medical Entity BIOGENE Ltd, with its registered office in Grodzisk Mazowiecki at ul. J. Kilińskiego 11/14, 05-825 Grodzisk Mazowiecki, entered into the register of entrepreneurs of the National Court Register maintained by the District Court for the capital city of Warsaw in Warsaw, 12th Commercial Division of the National Court Register under KRS number 0000381838, REGON: 142877960, NIP: 7010288182, entered into the Register of Entities Performing Medical Activity maintained by the Mazovian Voivode, book number 000000175320 (hereinafter referred to as the "Medical Entity”).
  2. The Medical Entity performs medical activities in the Medical Facility under the name: AMEDS Centrum (hereinafter referred to as the "Medical Facility”).
  3. The Medical Entity operates on the basis of:
    • generally applicable provisions of law, including in particular:
      • Act of 15 April 2011 on Medical Activity (consolidated text: Journal of Laws of 2018, item 2190, as amended – hereinafter referred to as “act”);
      • Act of 6 November 2008 on patients’ rights and the Patients’ Rights Ombudsman (consolidated text: Journal of Laws of 2009, item 417, as amended – hereinafter referred to as “the Act”);
    • entry into the appropriate Register of Entities Performing Medical Activity;
    • of these Regulations.

§ 2

GOALS AND TASKS OF THE MEDICINAL ENTITY

  1. The purpose of the Medical Entity is to take actions to maintain and improve health, in particular by providing health services and promoting health, conducting preventive activities and promoting health-promoting behaviours.
  2. The tasks of the Medical Entity include, in particular, the provision of health services in the field of outpatient specialist health care, nursing care in outpatient settings, including, among others, health services provided via teleinformatic systems or communication systems.
  3. The objectives and tasks of the Medical Entity referred to in § 2 section 1 and section 2 are implemented, among others, within the framework of:
    • performing diagnostic and laboratory tests to diagnose your health condition;
    • monitoring the patient’s health status; providing medical advice and consultations; monitoring the patient’s compliance with recommendations;
    • patient education and health promotion;
    • provision of health services via IT or communication systems.

§ 3

TYPE OF MEDICINAL ACTIVITY AND SCOPE OF HEALTH SERVICES PROVIDED

  1. The Medical Entity conducts medical activities such as: outpatient health services.
  2. As part of its activity, the Healthcare Entity provides health services in the field of specialist outpatient treatment (HC.1.3.3.), other outpatient care (HC.1.3.9.), blood collection and storage (HC.4.1.), treatment within the framework of primary health care (HC 1.3.1, nursing services (HC.4.6), laboratory tests (HC.4.1), ultrasound (HC.4.2.1).

§4

ORGANIZATION AND TASKS OF ORGANIZATIONAL UNITS OF THE MEDICINAL ENTITY AND CONDITIONS OF THEIR COOPERATION

  1. There are two organizational units in the Medical Center. 
  2. The AMEDS Medical Center unit located in Grodzisk Mazowiecki at ul. Kilińskiego 11, which consists of the following organizational units:
    • General Surgery Clinic;
    • Pediatric Surgery Clinic;
    • Vascular Surgery/Angiology Clinic;
    • Plastic Surgery Clinic;
    • Infectious Disease Clinic;
    • Dermatology Clinic;
    • Diabetes Clinic;
    • Dietetic Clinic;
    • Endocrinology Clinic;
    • Gastroenterology Clinic;
    • Gynecological Clinic;
    • Hepatology Clinic;
    • Internal Medicine/Family Doctor Clinic;
    • Cardiology Clinic;
    • Pediatric Cardiology Clinic;
    • ENT Clinic;
    • Neurology Clinic;
    • Ophthalmology Clinic;
    • Orthopedic Clinic;
    • Pediatric Clinic;
    • Proctology Clinic;
    • Radiological/Ultrasound Clinic;
    • Rheumatology Clinic;
    • Urology Clinic;
    • Venereology Clinic.
  3. VEDI Unit located in Warsaw at ul. Bracka 11/13, which consists of the following organizational units:
    • Internal Medicine Clinic;
    • Collection Point for research materials;
    • Ultrasound laboratory;
    • Diagnostic and Treatment Office;
    • Endocrinology Clinic;
    • Urology Clinic;
    • Internal Medicine Clinic;
    • Sexology Clinic;
    • Cardiology Clinic;
    • Physiotherapy Clinic.
  4. The tasks of the organizational units include providing comprehensive care for patients by providing health services in the field of outpatient treatment, in particular providing medical advice and consultations, as well as ordering and carrying out diagnostic tests.
  5. All organizational units and the persons employed within them cooperate with each other in order to ensure the efficient and effective functioning of the Medical Entity in terms of diagnostics, treatment, administration and economy.
  6. The organizational units of the Medical Entity cooperate with each other in order to provide comprehensive patient care. The detailed principles of this cooperation are determined by the head of the Medical Entity.

§ 5

METHOD OF MANAGING THE ORGANIZATIONAL UNITS OF THE MEDICAL FACILITY

  1. The activities of the Medical Entity are managed by the Management Board of BIOGENE sp. z o. o. with its registered office in Warsaw, which is the Manager of the Medical Entity within the meaning of the provisions of the Health Care Act (hereinafter referred to as the "Manager”).
  2. The Manager represents the Medical Entity externally and makes decisions regarding its operation.
  3. The Manager exercises all rights and obligations imposed on the Medical Entity by generally applicable provisions of law.
  4. The Manager may appoint heads of individual organizational units and the Director of the Medical Facility.
  5. The Manager makes decisions related to the current activities of the Medical Entity, in particular regarding:
    • approval of procedures, instructions and other internal normative acts, management of the work of the subordinate medical facility;
    • the distribution of tasks (including permanent tasks) and resources for their execution, taking into account their rank, priority, professional qualifications and the current workload of direct performers;
    • supervision over the efficiency and effectiveness of work organization;
    • official supervision over the performance of individual tasks by subordinate employees;
    • providing explanations and professional guidance to subordinate employees;
    • supervision of employees’ working conditions, with particular emphasis on the provisions relating to occupational health and safety and fire safety;
    • observing and supervising the compliance of subordinate employees with legal provisions, internal regulations and applicable ethical standards;
    • conducting systematic evaluation of employees;
    • giving opinions on job candidates; making proposals regarding the rewarding or punishing of subordinate employees;
    • submitting proposals for improving work.
  6. The following medical stations operate in the Medical Facilities:
    • doctor (including, for example, internist, cardiologist, endocrinologist, urologist);
    • physiotherapist;
    • nurse.
  7. The basic responsibilities within the individual positions include, respectively:
    • For a doctor:
      • making decisions and giving opinions on the patient’s health status;
      • patient education;
      • monitoring the patient's health;
      • issuing opinions and certificates, issuing prescriptions, referring patients for additional specialist consultations by issuing a referral;
      • maintaining medical records;
      • supervising the patient care process to the appropriate extent, including supervising the patient’s compliance with recommendations;
    • For a physiotherapist:
      • making decisions and giving opinions on the patient’s health status;
      • patient education;maintaining medical records;
      • supervising the patient care process to the appropriate extent, including supervising the patient’s compliance with recommendations;
    • In the case of a nurse:
      • execution of medical orders in the process of patient care;
      • recognizing patient care problems;
      • independent provision of services within a specified scope;
      • maintaining medical records;
      • patient education.

§ 6

PLACE OF PROVIDING HEALTH SERVICES

  1. The Medical Entity provides health services in Medical Facilities located at the following addresses: ul. Kilińskiego 11, 05-825 Grodzisk Mazowiecki and ul. Bracka 11/13, 00-501 Warsaw.
  2. The place of provision of health services via teleinformatic systems or communication systems is the place of residence of the persons performing the medical profession providing these services. The principles of providing health services via teleinformatic systems are specified in the "Regulations for the sale of services and online payments"
  3. Healthcare services are provided during the days and hours of operation of the Medical Facility or its individual organizational units.

§ 7

THE PROCESS OF PROVIDING HEALTH SERVICES

  1. The Medical Entity provides health services within the scope specified in these Regulations, ensuring appropriate availability and quality of services in the organizational unit and all organizational units indicated in § 4 section 1, in a way that guarantees patients the most convenient form of using the services.
  2. The Medical Entity provides health services:
    • for a fee in accordance with the price list for services provided at https://ameds.pl/, https://vediclinic.pl/
    • free of charge in the case of services provided to a person in need of immediate assistance due to a threat to health or life, when it is indicated that the patient had no other possibility of obtaining assistance.
  3. The Medical Entity maintains a separate balance sheet, as referred to in Article 2, paragraph 3 of the Medical Act
  4. Patient registration for individual visits to the Medical Entity takes place:
    • stationary at the Medical Center
    • by phone
    • on-line
  5. Healthcare services are provided on a date agreed with the patient during the opening days and hours of the Medical Facility, in-person or online.
  6. The provision of health services that require the personal presence of the patient is possible only after the patient or the patient's legal representative reports immediately before the provision of the health service for which the patient has been registered at the reception desk of the Medical Facility after presenting an identity card with the patient's photograph.
  7. The provision of health services via teleinformatic systems or communication systems is carried out in accordance with the principles set out in the "Regulations for the provision of services and online payments" available on the website www.vediclinic.pl
  8. Healthcare services are provided in a manner that ensures compliance with legal requirements appropriate to individual services, in compliance with the principles of professional deontology by persons performing a medical profession and with respect for the rights of the patient.

§ 8

CONDITIONS OF COOPERATION WITH OTHER MEDICAL ENTITIES

  1. The Medical Entity may cooperate in the scope of services provided to patients with other entities performing medical activities on the basis of a separate cooperation agreement.
  2. The Medical Entity provides entities performing medical activities with patients’ medical records if such documentation is necessary to ensure the continuity of the provision of services.
  3. Cooperation takes place in compliance with generally applicable legal provisions and with respect for the rights of the patient.

§9

RULES FOR MAINTAINING MEDICAL RECORDS AND CHARGING FEES FOR MAKING THEM AVAILABLE

  1. The Healthcare Entity maintains and provides access to medical records of patients who use the health care services provided by the healthcare entity under the terms and conditions specified by law. 
  2. For providing access to archival medical documentation, the Medical Entity charges a fee in accordance with the current price list.

§10

FINAL PROVISIONS

  1. The provisions of the Regulations apply to all persons employed in the Medical Entity, regardless of the form of employment, as well as all persons cooperating with the Medical Entity and all patients of the Medical Entities.
  2. In matters not regulated in the Regulations, the provisions of generally applicable law shall apply.
  3. The regulations are available at the Medical Facility.
  4. The provisions of the Regulations are made available to persons employed and cooperating with the Medical Entity.
  5. Any changes to these Regulations require compliance with the form and procedure appropriate for their introduction.
  6. The Regulations in their present wording shall enter into force on 1 December 2023.
